Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lotus AI Studio website, applications, and AI-powered image and video generation services (collectively, the "Service"), operated by WISETECH HOLDING GROUP LIMITED ("Lotus AI Studio", "we", "our", or "us").

By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

Lotus AI Studio provides tools that use artificial intelligence to generate images and videos from text prompts and reference images you provide. The Service is intended for e-commerce sellers and content creators to produce marketing and creative content.

We may modify, add, or discontinue features at any time. We do not guarantee the availability, accuracy, or suitability of any generated output.

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You retain ownership of the reference images, prompts, and other content you upload or submit ("Your Content"). By submitting Your Content, you grant us a limited, worldwide license to use it solely to provide and improve the Service, including transmitting it to authorized AI model providers for generation.

You represent and warrant that you own or have the necessary rights to Your Content, and that Your Content does not infringe the intellectual property, privacy, or other rights of any third party.

You agree not to use the Service to create, upload, or distribute content that:

• Depicts, promotes, or sexualizes minors in any form (strictly prohibited and reported to authorities).
• Involves non-consensual sexual content or the likeness of real individuals without consent (including deepfakes).
• Is unlawful, defamatory, hateful, harassing, or incites violence or terrorism.
• Infringes the intellectual property, publicity, or privacy rights of others.
• Violates any applicable law or regulation in your jurisdiction or ours.

We may monitor, review, and remove content that violates these Terms or applicable law, and we may suspend or terminate accounts that engage in prohibited conduct. We may report illegal content to the relevant authorities.

Subject to your compliance with these Terms, we grant you a non-exclusive, worldwide license to use the images and videos generated by the Service for lawful commercial and personal purposes.

AI-generated content may be subject to the policies of the underlying AI model providers, and the originality, ownership, and commercial usability of generated content are not guaranteed. You are solely responsible for ensuring that your use of generated content, including commercial use, complies with all applicable laws and any third-party rights.

The Service, its software, branding, and technology (excluding Your Content and generated content licensed to you above) are owned by us or our licensors and are protected by intellectual property laws.

Certain features of the Service require Credits or a paid subscription. Credits are consumed when you generate images or videos, and pricing is described on our website. You are responsible for paying all fees when due.

Subscription plans renew automatically until canceled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and no refunds are provided for the unused portion of the current period unless required by law.

We may change pricing with reasonable notice. Continued use of a paid feature after a price change constitutes acceptance of the new pricing.

One-time Credits purchases and subscription fees are generally non-refundable, except where required by applicable law or as determined by us in our sole discretion. If you believe you were charged in error, contact us within 30 days of the charge.

The Service relies on third-party AI model providers and cloud storage services. We do not control these providers, and their availability, output quality, and policies may change. We are not liable for any interruption, error, or content arising from these third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CONTENT WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOTUS AI STUDIO AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Lotus AI Studio and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.

These Terms are governed by the laws applicable in the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, China, unless otherwise required by applicable law.
